Terms of Service

These Terms of Service ("Terms") govern access to and use of BikeShop Desk, including its Shopify admin app, POS extension, and Mobile Companion. BikeShop Desk is operated by Venture Sports Inc. dba Cortola ("Cortola," "we," "us," or "our"). By installing, subscribing to, or using BikeShop Desk on behalf of a business, you agree to these Terms and confirm that you have authority to bind that business.
BikeShop Desk provides customer-work, service-job, task, calendar, inventory, time-clock, draft-order, and related shop-management features according to the selected plan and current product description. Features may depend on Shopify, a compatible Shopify plan, Shopify POS, authorized store permissions, eligible inventory locations, or separately enabled third-party services.
BikeShop Desk supports business workflows but does not replace professional judgment, inventory controls, employment practices, tax advice, accounting, or legal compliance. Shopify remains responsible for the Shopify services it provides, including checkout, payment processing, and app billing.
You control the customer, staff, inventory, service, and other business information entered into BikeShop Desk. You are responsible for having an appropriate legal basis and providing any notices or obtaining any consents required for that information and for customer communications.
You are also responsible for reviewing draft orders, prices, quantities, taxes, discounts, inventory moves, employee schedules, time entries, service approvals, and customer messages before relying on or sending them. Do not enter passwords, payment-card information, or unrelated sensitive information into free-text fields or attachments.
Plan prices, trial periods, included features, and available billing intervals are shown before subscription approval in Shopify. Shopify manages the subscription charge. Unless Shopify states otherwise, a paid subscription continues until it is canceled through Shopify.
You may change plans through the supported Shopify billing flow. Moving to a lower plan can remove access to higher-plan features while preserving related records for possible later use. Canceling or uninstalling the app does not automatically remove records immediately; our Privacy Policy explains retention and deletion.
BikeShop Desk connects to Shopify APIs and may offer optional integrations. Your use of Shopify and any third-party provider is governed by that provider’s own terms, fees, availability, and data practices. We are not responsible for a provider’s service or for changes a provider makes to its platform.
Cortola and its licensors retain all rights in BikeShop Desk, including its software, design, documentation, branding, and related materials. These Terms give you a limited, non-exclusive, non-transferable right to use the service for your internal business operations while your authorized access remains active. They do not transfer ownership of BikeShop Desk or its underlying technology.
You retain the rights you have in information your business provides. You grant us permission to process that information only as needed to provide, secure, maintain, and support the service and to meet legal obligations, as described in the Privacy Policy.
You may not misuse the service, attempt unauthorized access, interfere with its operation, introduce malicious code, reverse engineer it except where applicable law expressly permits, use it to violate another person’s rights, or use it to send unlawful or unauthorized communications.
We work to keep BikeShop Desk available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, security work, provider outages, or circumstances outside our reasonable control can affect availability. We may improve, replace, or retire features. If a material change significantly reduces a paid service, we will provide notice when reasonably possible.
We may suspend access when reasonably necessary to protect the service, a merchant, a customer, or another person; address suspected misuse or a security issue; comply with law; or respond to an unpaid or inactive Shopify subscription. We may terminate access for a material breach of these Terms. You may stop using the service and cancel through Shopify.
To the extent permitted by law, BikeShop Desk is provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. These disclaimers do not exclude warranties or rights that cannot lawfully be excluded.
To the extent permitted by law, Cortola will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from use of or inability to use BikeShop Desk. Any limitation applies only to the extent allowed by applicable law and does not limit liability that cannot lawfully be limited.
We may update these Terms as the service or applicable requirements change. We will revise the effective date and provide additional notice where required. Continued use after an update takes effect constitutes acceptance of the revised Terms to the extent permitted by law.
